Daniel Reed
Chief Executive Officer

Dan’s focus throughout his career has been on helping companies optimize the legal, financial and operational aspects of their business. Prior to founding UnitedLex, Dan served as Chief Financial Officer and General Counsel to Adjoined Consulting, and then as Managing Director of Kanbay International. Adjoined provided management consulting, integration and outsourcing IT services to a primarily Fortune 500 client base (Adjoined was aquired by Kanbay International, India’s 6th largest IT services provider, for $165 million in early '06). At Adjoined, Dan helped establish the company’s unique brand of financial and legal execution while managing various offshore (India, Singapore and Malaysia) service provider relationships.

Prior to his career with Adjoined Consulting, Dan was Vice President of Corporate Development and Legal Affairs at SmartDisk Corporation where he guided such company through early stage structuring and execution of its initial public offering, and was responsible for all offshore (Japan, Taiwan and the Philippines) shared services, corporate development activity and research and development activity from a legal perspective. Dan began his career 17 years ago with Ernst & Young LLP providing audit and tax advice services to New York City area companies. He then went on to Greenberg Traurig LLP (an AmLaw top 10 firm with more than 1,500 lawyers) where he represented venture backed and Fortune 500 companies in the technology, financial, healthcare and manufacturing sectors.

Dan has a law degree from Vanderbilt University and a Bachelors of Science degree in Accounting from the University of Florida.

 
Anup Bhasin
Chief Operating Officer

Anup has been associated with the remote processing industry in India since its inception and has an extensive background in operations, corporate finance and international business development with over 12 years of experience managing onshore and offshore operations. Prior to joining UnitedLex, Anup served as the Executive Vice President at IBM Daksh (IBM’s remote processing arm in India) and was the leader for its shared services group responsible for servicing the Company across all locations. In that role, Anup was responsible for transition & project management, IT operations & projects, information systems & security, and CRM competence practice besides giving business direction to real estate & site operations and procurement. During his five year tenure with IBM Daksh, Anup held a range of leadership roles with P&L responsibility leading teams of up to 4000 employees. In these roles, Anup was responsible for delivering world class remote processing services to multiple Fortune 100 clients with oversight of Operations, Training, Quality, Human Resources, Administration, IT and Finance functions. Anup also had a stint as the CFO of the Company.

Prior to joining IBM, Anup worked with American Express for 7 years wherein he helped set up the Company’s global remote services utility for financial accounting and back office processing catering to the worldwide operations of the Travel Related services and Card business of the Company. He was responsible for transitioning processes from these locations and ensuring delivery excellence. Anup also worked as the Financial Controller of the Indian legal entity for over two years.

Before American Express, Anup worked with Standard Chartered Bank for over 9 years wherein he worked initially in Operations and was subsequently responsible for managing relationships with large multinational and domestic corporate clients of the Bank.

Anup is a Fellow member of the Institute of Chartered Accountants of India and completed his LL.B. and B.Com. (Hons.) from Delhi University. He is also a Certified Internal Auditor from the Institute of Internal Auditors, Florida.

 
Ajay Agrawal
Chief Solutions Officer

Ajay is a senior corporate lawyer who specializes in equity-linked and structured transactions, M&A and complex securities and litigation. Over the last 14 years he has worked in some of the world’s leading firms and investment banks in their offices in New York, London and New Delhi and has been involved in M&A, litigation and securities offerings of structured Tier I capital, convertible and exchangeable securities, hybrid debt instruments, asset-backed securities and trust preferred securities. He has also represented corporate clients and investment banks in conventional securities offerings such as straight equity, cross-border debt, medium term notes and high-yield debt. Over the last decade, Ajay has also acquired significant technical and operational experience in the field of outsourced legal services and remote processing and has worked closely with several pioneers in the BPO industry.

Prior to founding UnitedLex, Ajay was part of the structured finance team at NM Rothschild & Sons (India) where his practice areas included asset-backed securitization. As a Senior Associate in the London and New Delhi offices of Jones, Day, Reavis & Pogue, Ajay structured the legal aspects of private equity investments made in India by major PE firms including EM Warburg Pincus and Chase Capital Partners and worked on some of the largest M&A transactions in the Indian market during 1999-2002. In his previous position as a Senior Associate at the New York offices of Simpson, Thacher & Bartlett, Ajay’s transactional focus lay in the fields of securities and capital markets, including representation of private equity investment funds. As a member of the Securities and Private Equity Group at Simpson, Thacher & Bartlett, Ajay structured several international private equity funds in Israel, Brazil and U.S.A. and worked on initial public offerings of companies belonging to various industry sectors in the U.S. capital markets, including the initial public offering of Ispat International, N.V. in August 1997. Ajay began his career as an Associate at the Corporate Group at the New York offices of Debevoise & Plimpton, where he worked on international private equity placements and securities offerings.

He has an LLM in international trade and finance from the Columbia University Law School, a BA (Honors) in Law from Trinity College, University of Cambridge and a BA (Honors) magna cum laude from Brown University.

 
José E. Latour
Vice President - Immigration and Labor Compliance

José has over two decades of business immigration law experience, first as a U.S. consular and diplomatic officer with the U.S. Department of State and later through Latour & Lleras, a leading corporate immigration firm he established in 1990. Cultivating a practice centered on turnkey immigration compliance for U.S. industry leaders, Jose is committed to addressing the immigration needs of companies that rely on the efficient movement and retention of international personnel. José pioneered the concept of fusing HR visa demands with full spectrum corporate compliance to deliver seamless, rapid visa processing and risk reduction for a significant number of Fortune 500 clients.

Embracing such innovative strategies and new technologies in a legal sector renowned for its high service cost and poor client service, Jose has garnered national recognition and numerous awards. Based upon his work with U.S. and multinational corporate clients, Florida Trend Magazine named José among "Florida's Legal Elite", a peer-selected group of Florida's top attorneys, as one of 15 attorneys identified as the most distinguished international attorneys in Florida.

José has degrees in law and advertising, both from the University of Florida.

 
Stephen Sopko
Vice President - Contracts & Sourcing

Stephen delivers over 20 years experience leading contracts organizations on both the buy- and sell-side of the profession.

During his tenure with Dell, Stephen globalized delivery of high-level knowledge services. He successfully launched teams supporting executive-level initiatives in legal, sourcing, sales, marketing, and finance. As a sales operations executive at Dell, Stephen implemented business development practices to reinvent a struggling contracts organization. He led teams of people delivering cradle-to-grave support for contracts valued over $35B TCV, supporting 700+ sales people and over 42,000 Dell commercial and public sector customers.

His prior experience includes tenure as a C-level executive in a consulting firm; dual reporting to CIO & CPO as a technology procurement manager at a Fortune 500 oil & gas company; and ten years as a procuring and R&D contract manager for the US Air Force in North America and Europe.

Stephen's significant accomplishments include pioneering offshore delivery of contracts & sourcing services; opening Eastern Europe and the former Soviet Union to US R&D contracting; managing contracts with Nobel-prize winning scientists; increasing Dell's contracting efficiency by 300%; and leading groundbreaking negotiations for outsourcing and data management. He holds a bachelor's degree in information technology from the State University of New York.

 
Rahul Bhalla
Vice President - Intellectual Property (Delivery)

Rahul Bhalla has extensive experience in the field of patent prosecution and patent analytics, and is a pioneer in the IP outsourcing industry in India. He is an expert in US, European and international patent law and has been responsible for delivery of patent prosecution and IPAM services to over 15 Fortune 500 clients. Most recently, Rahul's efforts led to the first annuity-based IP outsourcing contract between an Indian IP service provider and a Fortune 50 client. During the execution phase, he established and led a team of 30 IP specialists dedicated to the client and providing a wide range of prosecution and IPAM services. He has worked in a wide range of technology domains, including IT, electronics and telecommunications.

Rahul received his Bachelors degree in Technology at the Indian Institute of Technology Delhi (IIT Delhi) and is a registered patent agent with the Indian Patent Office.

 
Ian Benouis
Vice President - Intellectual Property (Sales)

Ian is an Intellectual Property attorney and business consultant who has spent many years working in the Intellectual Asset Management industry helping companies, corporate intellectual property departments and law firms acquire, manage, protect, leverage and strategize their investments in their IP portfolios. He has worked for law firms, corporations and a number of technology startups in the following capacities: General Counsel, VP of Sales and Marketing and VP of Operations. Ian has worked in the following industries: semiconductors, pharmaceuticals, software, legal services and content and financial services. Ian has experience and expertise in early stage technology commercialization, building organizations and business models from scratch, optimizing and reengineering existing processes especially in the area of the commoditization of professional services. He has worked for the following companies: Thomson (IP Management Services-formerly Master Data Center and Westlaw), eLaw, Pfizer, AXA, Silicon Valley Research, and deverus.

Ian has a law degree from the University of Houston Law Center and a Bachelor of Science in Engineering Management from the United States Military Academy at West Point. He was an officer and Blackhawk helicopter pilot in the US Army. He is a combat veteran participating in Operation Just Cause in the Republic of Panama.

 
Joseph E. Root
Chief Patent Counsel

Joe has served as both patent and general counsel, in-house and out, with corporations and law firms, in a career spanning almost three decades. Primarily, his focus has been the design and execution of IP strategies in high-tech industries, in California's Silicon Valley and internationally. Technology exposure has concentrated on software (systems and applications), together with semiconductor and optical devices, and internet-based business methods. Joe has extensive experience performing both portfolio management and hands-on patent prosecution, from invention planning to appeals. In addition, he has managed litigation in IP and commercial disputes, as well as participating as a litigator in a number of matters.

Training has been a continuing aspect of Joe's career, going back to an assignment teaching writing in a US Army officers' professional school. He was both a teaching assistant and Adjunct Instructor in a law school Legal Writing Program. Most recently, Joe founded QualiPat, a consultancy presenting training in patent drafting to law firms and corporations. He also has been a frequent speaker and author on patent drafting and IP strategy.

Joe received his JD (magna cum laude) at Wake Forest University School of Law, and a BS in engineering from the United States Military Academy at West Point. Prior to law school he worked as an engineer and production supervisor, and his military service includes a tour commanding an infantry company in Vietnam.

 
Ernest R. Higginbotham
Senior Vice President - Litigation Support & General Counsel

Ernie has over thirty years experience handling varied and complex litigation, including antitrust, securities and patent litigation. For the past six years, Ernie was Vice President, Litigation of Nortel Networks with global responsibility for supervising and managing all Nortel's litigation. At Nortel, Ernie managed the largest cross-border shareholder class action settlement ($2+ billion) involving actions in two U.S. courts and three Canadian provinces, as well as coordinated with related regulatory and criminal investigations in both the U.S. and Canada. Ernie also personally mediated patent cases that led to payments to Nortel totaling $60 million.

Prior to joining Nortel, Ernie spent 27 years in private practice in the Dallas office of the regional law firm of Strasburger & Price, L.L.P., where he represented major corporations in complex litigation, including class actions and multidistrict litigation. Ernie's varied practice included antitrust and commercial litigation. While at Strasburger, Ernie headed the firm's Business Litigation Division and was included in The Best Lawyers in America (Business Litigation).

Ernie is licensed to practice in Texas, and has served as Chairman of the State Bar of Texas' Antitrust and Business Litigation Section. Ernie is a member of the Antitrust and Litigation Sections of the American Bar Association, and he is a Life Member of the American Law Institute.

Ernie's law degree is from the University of Texas with Honors, and his Bachelors degree, cum laude in History, is from Princeton. Ernie served with the U.S. Army field artillery in Vietnam, where he was awarded two Bronze Stars and a Purple Heart.

 
Valerie Hase
Vice President - IP Commercialization and Transaction Support

Valerie has over twenty years experience in the high tech industry working as an engineer and then a business leader at Motorola Semiconductor Products Sector (now Freescale Semiconductor Inc.). Since 2001, she managed Motorola/Freescale's technology licensing business and participated in merger, acquisition and divestiture activities as part of Freescale's Corporate Business Development and Licensing organization. Valerie led and participated in more than twenty-five licensing and M&A transactions including the Freescale leveraged buyout in 2006. She held the following positions at Motorola/Freescale: Director Corporate Business Development and Licensing, Director of Marketing for Technology and Manufacturing, Director Semiconductor Products Sector Strategy and Director of Operations.

Most recently Valerie founded Virtual Transactions Specialists a consultancy to support corporations with mergers, acquisitions, equity investments, joint ventures, strategic licensing transactions. She has expertise in developing financial and licensing models, driving licensing transactions and managing a variety of M&A transactions.

Valerie received her Bachelor of Science from the University of Utah (Magna Cum Laude) in Materials Science and Engineering.

 
Jim Hilley
Vice President - Business Development

Jim is a sales leader with 16 years of experience selling professional services to C-level executives in large enterprises. He was part of the management team that sold Gazelle Consulting, a business intelligence consultancy, to Adjoined Consulting in 2005. Most recently, Jim was the sales executive at Xpanxion (an IT outsourcing/offshore company) taking them through a very high rate of growth over the past two years. He has developed a number of executive level relationships at Fortune 500 companies throughout the US. He has also served as a consultant, project executive and delivery lead for several professional services and consulting companies.

Jim has a BS and MS in Nuclear Engineering from the Georgia Institute of Technology and the University of Illinois, respectively.
